Terms of Service Agreement

Upon payment, this Agreement (the “Agreement”) is hereby entered into by and between you (hereinafter referred to as the “Client”) and Staterra Media (2 Park Ave #2056, New York, NY 10016) (hereinafter referred to as “Service Provider”). The Client and Service Provider (the “Parties” and variations thereof) agree as follows:

General:

I. Service Provider will provide:

1. A website

II. Service Provider will provide support to Client, but not to any third party, such as Client’s end users.

a. Service Provider will provide Client with support via email, on Monday-Thursday from 9am-4pm EST. Support requiring phone call or video conference or outside of 9am-4pm EST will only be possible by scheduled appointment.

b. Service Provider is not responsible for emergency cases and will not assume responsibility for server downtime, server delayed response time, network issues, or any other issues caused by interruption or intermittent issues of the underlying service hosting platform.

III. ACCEPTANCE OF SERVICES

a. The agreement becomes binding upon the payment by Client.

IV. Client REQUIREMENTS / ONBOARDING:

a. Client and Service Provider will, at all times, treat each other, their teams and/or agents with respect.

b. Client will supply reasonable business information required by the Service Provider (provide photos/videos, business details necessary to carry out service, fill in questionnaire). Delays on behalf of Client will not suspend the payment term.

Payments:

V. SERVICE FEES

a. The cost of the website and the first year of webhosting is $275 - The website and hosting will renew and Client will be billed $225 per year after the initial year. (Client may opt-out of renewal no later than 5 business days before the end of the service period by sending ''CANCEL ANNUAL [Client's website address]'' to [email protected]) Opt-out does not disqualify Client from ownership and having their website hosted. Service Provider must continue to host the website and honor the terms of this agreement for 365 days after launch despite the Client opting-out or not.

b. The service period is 365 days starting from the date of launching the website.

c. Client will have a chance to add/remove/change any content after the website is online. After that point, any updates are available at the discretion of Service Provider depending on complexity and time required.

d. Major fixes are defined by and available at the discretion of Service Provider. For major fixes requested by the Client which do not affect the functionality of the site and are not a result of a mistake or error made by the Service Provider, an hourly fee of $100/hour will be charged. Client is free to hire an independent third party to carry out major fixes.

If Client is not satisfied with the website during the first 14 days of launch and the website has not generated any additional calls, Client must first contact Service Provider to resolve any potential issues free of charge. If Service Provider is unable to resolve the issue or is unable to generate more business calls for Client over a second 14 day period, then payment will be refunded in full and website ownership will return to Service Provider. After 365 days from launching, if the website has not generated any additional calls, then Service Provider will continue to host and update the website for another year free of charge, this guarantee will continue every 365 days or until Client chooses to cancel this agreement. Third-party data from Google will be used to confirm the amount of calls made. Client must grant Service Provider access to their Google Business Profile. If Service Provider is unable to access Google Business Profile or Client is unable to provide evidence of call history from the Google Business Profile, then this guarantee cannot be fulfilled.

Fees and Termination:

VII. SUSPENSION OF WORK

a. Upon payment and acceptance of this agreement work will commence, therefore a refund will only be granted in the case that the Service Provider is unable to complete the website for any reason beyond their control.

b. Client may terminate this agreement and cancel website renewal no later than 5 business days before the end of the service period by sending ''CANCEL ANNUAL [Client's website address]'' to [email protected] from the same email address that this agreement has been sent to. Client will retain ownership of the website and website content, but must sign-up with a third-party hosting provider or the website will be taken offline. Service Provider will only host the website after 365 days if the renewal fee is paid.

VIII. CHARGEBACKS

Before proceeding with a chargeback, Client must make an attempt to resolve the issue by directly contacting Service Provider via text or phone call at (315) 640-4019. Any fees resulting from a wrongful chargeback will be paid by Client.

IX. REPRESENTATION:

Under no circumstances will the Service Provider be responsible for the Client's Customer. Under no circumstance does the Service Provider represent the same company as the Client. Under no circumstance will the Service Provider be responsible or involved in any problems that occur between Client and their customers.
